1. Acceptance of Terms

By accessing, browsing, registering for, purchasing from, or otherwise using Audivora (the “Service”), you confirm that you have read, understood, and agree to these Terms and our related policies referenced herein.

You must be at least the age of majority in your jurisdiction, or have permission of a parent or legal guardian, to use the Service. If you use the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. The Service

The Service provides access to audio-based learning materials, structured courses, and related digital content. Features may include course playback, progress tracking, downloads for offline use (where available), and account management.

We may add, remove, or modify features at any time. We do not guarantee that any specific feature will always be available, and we may suspend the Service for maintenance, security, or operational reasons.

We may offer free, trial, and paid access tiers. Availability of content may vary by region and may change without notice.

3. Accounts

You may need an account to access parts of the Service. You agree to provide accurate, current information and to keep it updated.

You are responsible for safeguarding your credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly and take immediate steps to secure your account.

We may refuse registration, suspend, or terminate accounts that we reasonably believe are used in violation of these Terms, applicable law, or for fraudulent or abusive behavior.

4. Purchases & Billing

When you purchase access to paid content, you agree to pay the stated price plus any applicable taxes, fees, and charges. You authorize us (and our payment processors) to charge your selected payment method.

Prices and availability may change at any time. If a pricing error occurs, we may cancel the order and refund the amount charged.

Refunds: Unless required by applicable law, purchases of digital content are generally non-refundable once access is granted. Where refunds are permitted, they may be subject to eligibility requirements and may be prorated.

If your payment method fails or is disputed, we may suspend access to paid content until payment is resolved.

5. License & Content

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the content provided through it for your personal, non-commercial use.

Except as expressly permitted, you may not: copy, reproduce, distribute, publicly perform, display, modify, translate, create derivative works, reverse engineer, or otherwise exploit any portion of the Service or content.

All rights, title, and interest in and to the Service and content, including intellectual property rights, are owned by Audivora or its licensors. No rights are granted except as explicitly stated.

If the Service allows downloads, such downloads are licensed, not sold, and may include technical restrictions. You agree not to bypass or disable any security or rights-management features.

6. Prohibited Conduct

You agree not to misuse the Service. Prohibited conduct includes, but is not limited to:

  • Accessing or using the Service for unlawful purposes or in violation of applicable regulations.
  • Attempting to gain unauthorized access to accounts, systems, or networks.
  • Interfering with or disrupting the Service, including by introducing malware or excessive automated requests.
  • Scraping, harvesting, or collecting information from the Service without permission.
  • Sharing access credentials or reselling access to the Service or content.
  • Uploading, transmitting, or distributing content that infringes intellectual property or privacy rights.

We may investigate violations and may take appropriate action, including restricting access, suspending accounts, or reporting to authorities where required.

7. Third-Party Services

The Service may rely on or integrate with third-party services (for example, payment processors, analytics, or infrastructure providers). Your use of third-party services may be subject to their separate terms and policies.

We are not responsible for third-party services, including their availability, content, or security practices. We do not endorse third-party offerings unless explicitly stated.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service (in whole or in part) if we reasonably believe you have violated these Terms, created risk for Audivora, or engaged in fraudulent or abusive behavior.

Upon termination, your license to use the Service ends. Certain sections of these Terms survive termination, including ownership, disclaimers, limitation of liability, and indemnity.

9. Disclaimers

The Service and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. You assume all risk arising from your use of the Service.

Educational content is provided for general informational purposes. It does not constitute professional advice and should not be relied upon as a substitute for qualified guidance.

10. Limitation of Liability

To the fullest extent permitted by law, Audivora and its affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.

To the fullest extent permitted by law, Audivora’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid to Audivora for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US $100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnity

You agree to defend, indemnify, and hold harmless Audivora and its affiliates, licensors, and service providers, and each of their respective officers, directors, employees, contractors, agents, successors, and assigns from and against claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service or your violation of these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws applicable in the jurisdiction where Audivora is established, without regard to conflict of law provisions.

You agree to attempt to resolve disputes informally by contacting us first. If a dispute cannot be resolved informally, it will be resolved in a court of competent jurisdiction, unless mandatory consumer protection laws provide otherwise.

13. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date indicates when the latest changes became effective. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

If changes are material, we may provide additional notice as required by applicable law.
